This Affiliate Program Operating Agreement (“Operating Agreement”) governs your participation in the Destin Boat Company Affiliate Program (“Program”). “We,” “us,” and “our” refer to Destin Boat Company. “You” refers to the applicant participating in the Program.
“Partner Site” refers to destinboatcompany.com. “Your site” refers to any website, social media account, or digital platform where you promote Destin Boat Company using approved affiliate links. “Advertising Fees” or “Commissions” refer to the earnings you receive for verified bookings generated through your affiliate link.


BY APPLYING FOR AND PARTICIPATING IN THE PROGRAM, YOU AGREE TO BE BOUND BY THIS OPERATING AGREEMENT, AND YOU REPRESENT THAT YOU ARE LEGALLY ABLE TO ENTER INTO CONTRACTS.

1. Program Description

The Program allows you to promote Destin Boat Company tours, rentals, and services. You earn commissions on Qualifying Purchases, meaning valid bookings made by customers who use your unique affiliate link. We may provide you with promotional materials such as images, text, videos, and link formats (“Content”). All Content remains the property of Destin Boat Company.

2. Enrollment

To enroll, you must submit a complete application. We will evaluate your application and may reject it at our discretion, including if your site or content:
 

• Contains sexually explicit, violent, defamatory, hateful, or discriminatory content

• Promotes illegal activities

• Violates intellectual property rights

• Misuses Destin Boat Company brand assets

• Is deemed unsuitable for our brand
   

You are responsible for ensuring your contact information and promotional platforms remain accurate and up to date.

3. Use of Affiliate Links

Once approved, you may place Destin Boat Company affiliate links (“Special Links”) on your platforms.

• Special Links must be used exactly as provided.

• Commissions are only earned from bookings made through properly formatted links.

• You may not use redirect links, masked links, or altered URLs.

• If you use Destin Boat Company links inside a mobile app, you must disclose the app during application.
   

Improper link usage may result in withheld commissions or removal from the Program.

4. Program Requirements

By participating, you agree to:
 

• Follow all guidelines and rules provided by Destin Boat Company

• Provide information if requested to verify compliance

• Allow us to monitor link performance, clicks, and booking activity

• Ensure truthful, non-deceptive promotion of Destin Boat Company services

• Avoid spamming, false claims, coupon sites, or incentivized traffic
   

Violations may result in withheld commissions, termination, or account suspension.

5. Your Responsibility

You are solely responsible for your site, content, promotional practices, and compliance with laws. This includes:
 

• The operation and maintenance of your platform

• The accuracy of any statements you make about Destin Boat Company

• Ensuring your content does not violate any rights, laws, or policies

• Disclosing affiliate participation as required by the FTC (e.g., “I may earn a commission…”)

• Not engaging in misleading, harmful, or illegal promotion
   

You agree to indemnify Destin Boat Company against any claims arising from your actions, content, or promotional methods.

6. Order Processing

Destin Boat Company handles all bookings, payments, customer service, and fulfillment.
 

• We track Qualifying Purchases

• We reserve the right to reject bookings that do not meet our policies

• Affiliate dashboard reporting will reflect eligible commissions
   

7. Qualifying Purchases & Exclusions

A “Qualifying Purchase” occurs when:

1. A customer clicks your Special Link

2. The customer books a Destin Boat Company service within 24 hours

3. The booking is completed and fully paid
    

We do NOT pay commissions on:

• Bookings outside the 24-hour window

• Bookings made through improperly formatted links

• Canceled, refunded, or disputed bookings

• Bookings you make for yourself or on behalf of others

• Bookings made using incentives, giveaways, or rebates

• Links posted on coupon sites or “code reveal” sites

• Paid search placements on keywords containing Destin Boat Company, Destin Boat Co, or any misspellings

• Traffic generated from misleading or forced redirects

• Bookings made after program termination
   

8. Commission Payments

Affiliate commissions:
 

• Are paid monthly for completed trips

• Are issued via the payment method selected in your dashboard

• Are only paid once the customer has completed their tour or rental

• May be held if cancellations or disputes occur

• Require a minimum payout threshold (if applicable)
   

Destin Boat Company may adjust or withhold payments in the case of errors or violations.

9. Pricing & Policies

All customers are considered Destin Boat Company customers.
Destin Boat Company determines:

• Prices

• Tour availability

• Terms of service

• Policies and procedures
   

These may change at any time.

10. Identifying Yourself as an Affiliate

You must clearly disclose your affiliate relationship in accordance with U.S. federal law:
“I may earn a commission from Destin Boat Company if you book through my link.”

You may not:

• Claim to be an employee of Destin Boat Company

• Make guarantees on our behalf

• Misrepresent your relationship with us
   

Press releases using our name require written approval.

11. License

We grant you a non-transferable, revocable license to use:
 

• Provided promotional assets

• Approved branding materials

• Approved link formats
   

This license ends when:
 

• You violate program rules

• You are removed from the program

• You terminate participation
   

All materials must be removed immediately upon termination.

12. Rights & Submissions

Destin Boat Company retains ownership of all Content.

If you submit suggestions, media, or improvements, you grant us the right to use them without compensation.

13. Compliance with Laws

You must comply with all applicable laws including:

• U.S. federal and state advertising laws

• FTC disclosure rules

• CAN-SPAM (if using email marketing)

• Social media guidelines for endorsements
   

14. Term & Termination

Either party may terminate participation at any time.

Upon termination:
 

• All commissions not yet finalized may be held to account for cancellations

• You must cease using all Content and remove all links immediately
   

Sections related to liability, intellectual property, and indemnification will survive termination.

15. Modification

Destin Boat Company may update this Agreement at any time.

Continued participation is considered acceptance.

16. Relationship of Parties

You are an independent contractor.

Nothing creates an employer–employee or joint venture relationship.

17. Limitation of Liability

Destin Boat Company is not liable for:
 

• Loss of profits

• Downtime

• Errors

• Lost data

• Indirect or consequential damages
   

Total liability will not exceed the commissions paid in the 12 months prior to the claim.

18. Disclaimers

The Program and all associated materials are provided “as is.”

We do not guarantee uptime, performance, accuracy, or error-free operation.

19. Governing Law

This Agreement is governed by the laws of the State of Florida.
Disputes will be handled exclusively in Okaloosa County, Florida.

20. Miscellaneous

Destin Boat Company may operate its own referral programs or similar initiatives without obligation to affiliates.
You may not assign your affiliate account to another party without written approval.
Confidential information provided through the Program must not be shared.
